Terms & Conditions
These Terms and Conditions explain how you may use the GraamSoft website, and the general terms that apply alongside any specific proposal, quotation or contract you sign with us for services.
Effective date: October 23, 2026 · Last updated: October 23, 2026
1. Scope and Acceptance
These Terms and Conditions (“Terms”) apply to your use of graamsoft.com (the “Website”) and set out the general terms that apply when GraamSoft (“GraamSoft”, “we”, “us”) provides IT, software, mobile app development or consulting services to a client (“you”).
By browsing the Website or submitting an enquiry through it, you accept these Terms. Where you engage us for services, these Terms apply together with — and do not override — the specific written proposal, quotation, statement of work or signed contract covering that engagement (your “Agreement”). If anything in these Terms conflicts with your Agreement, the Agreement controls for that engagement.
2. Our Services
GraamSoft provides the following categories of services:
- AI-powered CRM (our flagship product);
- Custom software development;
- Website design and development;
- Mobile app development (iOS and Android);
- IT consulting and strategy;
- Cloud solutions;
- Cybersecurity services; and
- Data management and analytics.
The exact scope, deliverables, timeline and fees for any specific engagement are set out in your Agreement, not in these Terms.
3. Website Use vs. Contracted Services
Browsing the Website, reading about our services, and submitting the contact or newsletter forms do not, by themselves, create a contract for services between you and GraamSoft. A services engagement begins only once we have agreed scope, fees and terms in a proposal, quotation or signed contract.
These Terms govern your general use of the Website at all times. Once you have an Agreement with us, that Agreement governs the services it covers, and these Terms continue to apply to anything the Agreement does not specifically address.
4. Proposals, Scope of Work and Change Requests
Before starting paid work, we provide a proposal, quotation or statement of work describing the agreed scope, deliverables, timeline and fees. Work proceeds on the basis of that document (or a signed contract referencing it) once you accept it.
If you ask for something outside the agreed scope — a new feature, a design change, an extra round of revisions — we will treat it as a change request. Change requests may affect the fees, timeline or both; we will tell you the impact before carrying out the change, and proceed only once you agree to it.
5. Client Responsibilities
To help us deliver your project on time and correctly, you agree to:
- Give us accurate, complete information about your requirements and business, and tell us promptly if anything changes;
- Provide timely feedback, approvals and any content or materials (text, images, logos, data) we need from you to do the work;
- Give us only lawful instructions, and not ask us to build, configure or deploy anything for an unlawful purpose; and
- Ensure that any account, system or third-party service you give us access to (for example, a hosting account, domain registrar, CMS, or API) is something you are authorised to grant us access to, and that our access is limited to what the engagement requires.
6. Confidentiality and Handling of Client Credentials
Where you share confidential business information, or credentials to your systems and accounts, with us so that we can carry out agreed work, we will:
- Use them only to perform the work you have engaged us for;
- Keep them confidential and protect them with measures reasonable and appropriate for the engagement — the specific technical and organisational safeguards that apply to a given engagement are set out in, and governed by, that engagement's Agreement, and may differ from the practices described for this website in our Privacy Policy; and
- Not disclose your confidential information to anyone outside GraamSoft, except to the extent needed to perform the work (for example, to a hosting or platform provider the project depends on) or as required by law.
We recommend sharing credentials through a secure channel, and rotating any shared credentials once a project is handed over or an engagement ends.
7. Intellectual Property
GraamSoft retains ownership of its pre-existing tools, frameworks, libraries, our AI-powered CRM platform, and any other intellectual property we created before, or independently of, your engagement. Using these as part of a deliverable does not transfer ownership of them to you.
Ownership and licensing of the deliverables created specifically for you (for example, a custom website, app or integration) are as set out in your Agreement. If your Agreement does not address this, contact us before relying on any particular assumption about ownership — we are happy to confirm this in writing for your engagement.
8. Fees, Payments, Cancellations and Refunds
Fees, applicable taxes, payment schedule and currency for a services engagement are set out in the accepted quotation, invoice or Agreement for that engagement. We do not apply a single, universal non-refundable or cancellation policy to every engagement — cancellation and refund terms, if any, are whatever is specified in your Agreement.
If your Agreement is silent on cancellation or refunds, contact us to discuss your situation before assuming either that fees are refundable or that they are not.
9. Third-Party Platforms, Licences, Hosting and Dependencies
Many projects depend on third-party platforms and services we do not control — for example, hosting providers, domain registrars, cloud infrastructure, software licences, or platform APIs such as Meta/WhatsApp Business, Instagram or X/Twitter. The availability, pricing, terms and policies of these third parties are set by them, not by us, and can change at any time.
Unless your Agreement says otherwise, you are responsible for holding and paying for any third-party accounts, licences or subscriptions your project needs (for example, your own hosting account or App Store developer account), and we will tell you in advance where a project depends on one.
10. Acceptable Use
When using the Website (including its forms), you agree not to:
- Use it for any unlawful purpose;
- Attempt to bypass its security controls, rate limits or bot protections, or probe, scan or test its systems without our permission;
- Submit false contact information, or content that is abusive, infringing, or harmful, through the contact or newsletter forms; or
- Scrape, crawl or systematically extract content from the Website in a way that disregards our robots.txt or places an unreasonable load on it.
11. Support and Maintenance
Where you have a separate support or maintenance agreement with us, the scope, response times and any other service commitments are as set out in that agreement. We do not offer 24/7 support or a guaranteed uptime commitment on the Website or otherwise, unless this is expressly agreed in writing for your engagement.
12. Suspension, Termination and Transition
We may suspend or restrict access to the Website for anyone who breaches the Acceptable Use terms above.
Suspension, termination and any transition or handover arrangements for a services engagement (for example, handing over source code, credentials or documentation at the end of a project) are governed by the terms of your Agreement. Where your Agreement does not address this, we will work with you in good faith to agree a reasonable transition.
13. Warranties and Liability
We provide the Website, and the services we agree to deliver, with reasonable skill and care. Beyond what is expressly promised in your Agreement, we do not make warranties about the Website or our services except those that cannot lawfully be excluded or limited under applicable law — those statutory rights are not affected by these Terms.
To the extent permitted by applicable law, and subject to anything your Agreement specifically provides, we are not liable for indirect or consequential losses arising from your use of the Website or our services. Any cap on our liability is the one specifically agreed in your Agreement.
14. Governing Law
Any governing-law and dispute-resolution provisions in your Agreement apply according to that Agreement's scope. If a concern arises about this Website or our services, please contact info@graamsoft.com so we can seek an informal resolution. This does not restrict any rights or remedies available under applicable law.
15. Changes to These Terms
We may update these Terms from time to time, for example to reflect a new service, a change in how the Website works, or a legal requirement. We will update the “Last updated” date at the top of this page when we do. Changes to these Terms do not retroactively change the terms of an Agreement you have already signed with us for an existing engagement, unless we agree that change with you in writing.
